Terms of Service

By accessing, browsing, or using the Gen QR Code website and services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

We reserve the right, in our sole discretion, to modify these Terms at any time. We will indicate changes by updating the "Effective Date." Your continued use of the Service following any modification constitutes your binding acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

Gen QR Code provides an online QR code generation, customisation, and analytics platform. The Service is provided on a freemium basis: certain features are available at no charge ("Free Tier"), while advanced features require a paid subscription ("Paid Plans").

We reserve the right, at any time and without notice, to:

• Modify, suspend, or discontinue any part of the Service
• Impose limits on certain features or restrict access to parts of the Service
• Change pricing for Paid Plans with reasonable advance notice

We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that:

• You are at least 13 years of age
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under applicable law
• All information you provide is accurate, current, and complete

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

To access certain features, you must create an account. You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Any harm resulting from your failure to safeguard your credentials

You agree to notify us immediately of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to comply with the above requirements.

We reserve the right to suspend or terminate your account at any time, in our sole discretion, with or without cause, and with or without notice.

You agree to use the Service only for lawful purposes. You expressly agree NOT to:

• Create QR codes that link to illegal, harmful, abusive, defamatory, obscene, or fraudulent content
• Use the Service for phishing, malware distribution, or any other malicious activity
• Violate any applicable local, national, or international law or regulation
• Infringe upon any intellectual property, privacy, or other rights of any third party
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use the Service in any manner that could damage, disable, overburden, or impair it
• Resell, sublicense, or commercially exploit the Service without our express written permission
• Circumvent, disable, or otherwise interfere with any security-related features

We reserve the right to immediately suspend or terminate your account and delete any QR codes that violate this policy, without prior notice and without refund.

"User Content" means any data, text, URLs, or other content you input into or create using the Service, including QR code payloads and uploaded logos.

You retain all ownership rights in your User Content. By submitting User Content, you grant Gen QR Code a non-exclusive, worldwide, royalty-free, sublicensable licence to store, process, and display your User Content solely to the extent necessary to provide the Service.

You are solely responsible for your User Content. We do not monitor, endorse, or assume any liability for User Content. We are not responsible for any loss or damage resulting from your reliance on User Content or from any third party accessing QR codes you create.

We reserve the right to remove any User Content that we determine, in our sole discretion, violates these Terms or applicable law.

7.1 Billing

Paid Plans are billed on a recurring basis (monthly or annually) via Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.

7.2 Price Changes

We reserve the right to change subscription prices at any time. Price changes will take effect at the start of the next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new price.

7.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to Paid Plan features until the end of the period you have already paid for.

7.4 Refund Policy

All payments are non-refundable except where required by applicable law or at our sole discretion. We do not provide refunds for partial billing periods, unused features, or dissatisfaction with the Service.

7.5 Failed Payments

If a payment fails, we may immediately downgrade your account to the Free Tier and suspend access to Paid Plan features until outstanding amounts are settled.

The Service and all its contents, features, and functionality — including but not limited to software, text, graphics, logos, icons, and images — are the exclusive property of Gen QR Code and its licensors, protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service strictly in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

The Gen QR Code name, logo, and all related marks are trademarks of Gen QR Code. You may not use any of our trademarks without our prior written consent.

The Service integrates with third-party services including Stripe, Supabase, Google AdSense, and Vercel. Your use of these services is governed by their respective terms and privacy policies. We have no control over, and assume no responsibility for, the content or practices of any third-party services.

The Service may contain links to external websites. Such links are provided for convenience only. We do not endorse any linked websites and are not responsible for their content, accuracy, or practices. Accessing external links is entirely at your own risk.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) THE SERVICE OR ANY SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

QR CODES GENERATED BY THE SERVICE ARE PROVIDED FOR INFORMATIONAL AND CONVENIENCE PURPOSES ONLY. WE MAKE NO GUARANTEE THAT QR CODES WILL FUNCTION ON ALL DEVICES OR SCANNING APPLICATIONS. YOU ARE SOLELY RESPONSIBLE FOR TESTING QR CODES BEFORE DEPLOYING THEM FOR COMMERCIAL OR CRITICAL PURPOSES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GEN QR CODE, ITS OWNERS, OPERATORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) USD $10.00.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless Gen QR Code, its owners, operators, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of or access to the Service
• Your User Content
• Your violation of these Terms
• Your violation of any applicable law or the rights of a third party

We do not guarantee continuous, uninterrupted, or secure access to the Service. The Service may be temporarily unavailable due to maintenance, outages, or factors beyond our control. We shall not be liable for any loss or damage caused by unavailability of the Service.

We strongly recommend that you maintain your own backups of any QR code data or content you consider important. We are not responsible for any loss of User Content due to technical failures, accidental deletion, or any other cause.

We reserve the right to suspend or terminate your account and access to the Service at any time, in our sole discretion, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account data in accordance with our retention policy
• Dynamic QR codes associated with your account may cease to redirect
• No refunds will be issued for any remaining subscription period

Sections 6, 8, 10, 11, 12, and 16 of these Terms shall survive any termination.

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION WITH RESPECT TO ANY DISPUTE RELATING TO THE SERVICE OR THESE TERMS.

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Gen QR Code regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Assignment: You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms freely.
• Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, government actions, or internet outages.
